Terms of Sales & Delivery

Please note: This English translation is provided for convenience only. In case of discrepancies, the Danish version of the Terms and Conditions shall prevail.

2. GENERAL PROVISIONS

2.1   Flexofold manufactures and sells marine propellers and related products. In this connection, Flexofold also offers advisory services and repairs by agreement.

2.2    These terms and conditions of sale and delivery (hereinafter referred to as the “Terms”) apply to the purchase of any product, spare parts, and services from Flexofold.

2.3    The Terms apply to both consumers and business customers. Please refer to clause 15 for specific provisions applicable to business customers.

2.4    These Terms shall at all times constitute the applicable terms of sale. In the event of any inconsistency, these Terms shall take precedence over the buyer’s general terms and conditions unless otherwise expressly agreed in writing.

 

3. ORDERS AND PURCHASES

3.1    Upon placing an order via our online shop, you will receive an automatically generated email receipt. This does not constitute a binding order confirmation.

3.2    A binding agreement is only concluded when you receive a written order confirmation via email from Flexofold.

3.3    For custom-made propellers, payment is required upon issuance of the order confirmation. For spare parts and other stock items, payment is due at the time of handing over the product to the carrier.

 

 

4. PRICES AND PAYMENT METHODS

4.1    Payment may be made using Dankort, Visa/Dankort, Mastercard, or other payment methods as agreed upon.

4.2    We reserve the right to cancel orders in the event of obvious typographical or pricing errors on our website.

4.3    Prices are stated in the following currencies: Danish Kroner (DKK), Euro (EUR), and US Dollar (USD).

 

 

5. PRODUCTS AND ADVISORY SERVICES

5.1    Flexofold sells propellers, spare parts, and in certain cases, demo units or used propellers. In such cases, the product type will be clearly indicated.

5.2    The manufacturing process involves manual handling of one or more raw materials. As such, visual variations may occur. These are not to be regarded as defects, as minor cosmetic deviations do not affect the product’s function or performance.

5.3    Advisory services are provided to the best of our professional knowledge and experience. Flexofold shall not be liable for damages resulting from usage that is contrary to the product’s intended purpose or improper handling.

 

 

6. DELIVERY AND RISK TRANSFER

6.1    Flexofold delivers globally where legally permissible and where delivery is not severely hindered by geopolitical or similar extraordinary circumstances.

6.2   Delivery time will be stated at the time of purchase and will typically be 3–5 business days for deliveries within the Nordic region and Northern Europe. For custom-made products, specific lead times will be provided. International delivery times vary and will be specified individually.

6.3    The risk of loss or damage to the goods passes to the customer upon the customer’s physical possession of the goods.

6.4    If a parcel is not collected and returned to us, the cost of return shipping will be deducted from any refund.

 

 

7. RIGHT OF WITHDRAWAL AND RETURNS

7.1    You have the right to withdraw from the purchase within 14 days of receiving the goods.

7.2    To exercise the right of withdrawal, you must notify us at sales@flexofold.com within the withdrawal period.

7.3    You are responsible for the cost of return shipping. Returned goods must be in substantially the same condition and quantity as received. Any depreciation in value due to usage beyond what is necessary to inspect the item may be deducted from the refund. We recommend using the original packaging.

7.4   The right of withdrawal does not apply to custom-made products.

7.5    Flexofold reserves the right to charge for any portion of a service already rendered.

 

8. WARRANTY CLAIMS

8.1    A 24-month warranty period applies to purchases from Flexofold.

8.2    Claims must be made within two months of discovering the defect or fault.

8.3    Claims must be submitted to sales@flexofold.com and include:

•    A brief description of how the damage or defect occurred

•    Photographic documentation and a brief description of the defect

•    A copy of your order confirmation

8.4    For minor defects, Flexofold will initially offer a repair or replacement. Only if the defect is substantial, or if repair/replacement is not possible, will a price reduction or refund be offered.

8.5    When returning a product under warranty, it must be securely packaged. You must retain and send us your shipping receipt. We recommend using the original packaging.

9. SERVICE AND REPAIRS

9.1    Flexofold offers repairs and technical support both during and beyond the warranty period.

9.2    Any third-party modifications or repairs made without Flexofold’s written consent will void the warranty.

9.3    Damage caused by unauthorized use or improper installation is not covered. We recommend that any enclosed installation guide be followed carefully.

 

10. RETURNS AND REFUNDS

10.1    Goods must be returned within 14 days of submitting the withdrawal notice to:

10.2    Refunds are made via bank transfer unless otherwise agreed.

10.3    Refunds will be issued no later than 14 days after receipt of the returned goods or proof of return.

10.4    You are liable for any depreciation in value due to handling beyond what is necessary to determine the nature, characteristics, and functionality of the goods.

10.5    Flexofold expressly notes that contact with saltwater may visibly alter the product’s color and appearance within 1–2 days. Such changes are considered depreciation for which you are liable.

 

11. FORCE MAJEURE

11.1    Flexofold is not liable for failure to perform due to force majeure. This includes, but is not limited to, strikes, fire, import/export restrictions, currency restrictions, or other circumstances beyond our reasonable control which could not have been foreseen or avoided.

11.2    Flexofold shall notify the customer of the force majeure situation without undue delay. Flexofold is entitled to postpone delivery. If the situation continues for more than 90 days, the order may be cancelled in whole or in part.

 

12. PERSONAL DATA

12.1    When you place an order, we collect the following personal data:

•    Name

•    Address

•    Phone number

•    Email address

•    Delivery preferences

•    Payment method

•    IP address used for the purchase

•    Information about purchases and returns

•    Any correspondence regarding claims or inquiries

•    Verification data (if applicable)

12.2    We process this data to fulfill your order and respond to inquiries regarding your purchase.

12.3    Verification checks are performed to reduce the risk of fraud and misuse of stolen payment cards.

13. AMENDMENTS TO THE TERMS

13.1    Flexofold reserves the right to amend these Terms at any time. Amendments are effective from the date they are published on our website.

 

 

14. LIMITATION OF LIABILITY AND DISCLAIMERS

14.1    Flexofold disclaims any liability for infringement of third-party intellectual property rights resulting from products manufactured according to the buyer’s specifications.

14.2    Flexofold is not liable for indirect losses unless otherwise required by applicable law. Indirect losses may include, but are not limited to, loss of profits, loss of business, or loss due to crane lifts during installation. The extent of indirect losses is not limited to the above examples.

14.3    Flexofold disclaims, to the fullest extent permitted by law, any product liability for damage to persons or property caused by defective products.

 

 

15. SPECIFIC PROVISIONS FOR BUSINESS CUSTOMERS

15.1   Unless otherwise stated herein or agreed between the parties, the same terms apply to business customers as to consumers.

15.2    Business customers do not have a right of withdrawal.

15.3    Business customers must notify Flexofold of visible defects no later than 8 days after delivery. For hidden defects, the absolute deadline is 12 months from delivery, but notification must be made immediately after discovery or when it should have been discovered.

15.4    Unless otherwise agreed, payment is due 8 days from delivery.

15.5    Title to the goods remains with Flexofold until full payment, including taxes, charges, and any interest, has been received. The buyer is obliged to provide access and assist in the return of the goods in the event of cancellation.

15.6    Until title passes, the goods must not be resold, pledged, or used in a manner contrary to Flexofold’s interests.

15.7    For business customers, product liability under clause 14.3 is capped at DKK 1 million per incident per year. The buyer shall indemnify Flexofold against any third-party claims exceeding this cap.

17. GOVERNING LAW AND VENUE

17.1    Any disputes shall be governed by and construed in accordance with Danish law and resolved by the Danish courts.

17.2    The rules of private international law, including the United Nations Convention on Contracts for the International Sale of Goods (CISG), shall not apply.
